Get returns from games developed by Digital Eclipse

You will be investing in Fig and receiving Fig Gaming Shares – Digital Eclipse (FGS-Digital Eclipse), which will pay distributions based on Fig's right to sales receipts of games developed by Digital Eclipse which Fig has funded and will publish under Fig's publishing license agreement with the game's developer, Digital Eclipse Entertainment Partners, LLC.

How investing works

These charts generally show how investments help fund game development and how sales receipts will be shared.

  1. Investors invest in Fig Gaming Shares – Digital Eclipse, of Fig Publishing, Inc. (Republic subsidiary).

  2. Fig provides a development amount (part of the Fig Funds) to the Developer for each licensed game Fig and the Developer agree to.

  3. Provided a game funded by Fig is successfully developed and published, the Developer will pay Fig a revenue share on sales receipts received by the Developer.

    Fig's revenue share is 50% of sales receipts before 3.00x the Fig Funds provided to the Developer is returned; after that, Fig's revenue share is 25% of sales receipts for five (5) years thereafter. Any Fig Funds not provided to the Developer will be returned to the investors if the Fig Funds raised in the offering are not provided to the Developer within three 3 years, such funds remaining in escrow, without earning interest, until such time.

  4. Fig then pays out 85% of these revenues to shareholders of FGS-Digital Eclipse.

Revenue sharing calculations

This graph shows the estimated lifetime distributions for every $1,000 share, at various levels of relevant Digital Eclipse game sales* at a minimum dividend rate of 85%. The lifetime distributions will vary depending on the level of investment raised because Fig's revenue share might be divided among a fewer number of securities.
Potential Cumulative Dividends

Under Fig’s dividend policy, if Digital Eclipse games are successfully developed and published, then, during such time as Digital Eclipse games are generating sales receipts, an investor in FGS-Digital Eclipse may expect to receive dividends for each share held by the investor as follows:

The table above embodies assumptions, and is presented for illustrative purposes only. One principal assumption is that Fig provides 100% of the proceeds of this offering as Fig Funds to Digital Eclipse. Although we believe the assumptions represent fair estimates, there can be no assurance that any one or more of these assumptions will in fact apply. This table uses the Tier 1 Calculated Rate in determining the amount of revenue to Fig.
In particular:

  • There can be no assurance as to when Digital Eclipse Games may begin to generate sales; or when they may reach any particular number of unit sales, or when its sales may begin to drop or cease. The table above does not in any way illustrate anticipated sales performance over time.
  • We are not aware of any way to reliably predict the amount of sales, or sales rate, of a console from the amount of sales, or sales rate, of another game console. Nevertheless, the information presented is estimated by us and not a complete representation of the financial performance, because it excludes, among other things, the expenses that would affect whether a game is profitable. Also, such information has not been prepared in accordance with GAAP, nor audited in accordance with GAAP.
  • Digital Eclipse will sell games at different prices depending on the development costs associated with such Licensed Game. The retail price of a game is subject to discounting by the publisher and by distributors (typically with the acquiescence of the publisher). A game that sells well may maintain its initial retail price for a year or more, although games that sell less well are typically discounted faster, in order to spur sales volumes. 

Estimated lifetime distributions

The graph above assumes the Fig Funds amount is $10,000,000 and shows the estimated lifetime distributions for a single FGS-Digital Eclipse share ($1,000 price), at various levels of revenue received by Fig, assuming a specific breakdown of revenue from different sources related to the sale of the Digital Eclipse games published by Fig.* 

The lifetime distributions will vary depending on the level of investment raised, because Fig's revenue share would be divided among the number of securities outstanding. However, the more funds we raise, the more funds we can make available for development, which may translate into more consumer interest in the completed product. If the Fig Funds amount were higher than $10,00,000 the dividend payment to stockholders would be lower than presented for any given level of revenue.

Funds committed will remain in an escrow account maintained by Prime Trust, LLC until such time as a closing occurs. We will not be issuing share certificates; your investment will be solely recorded in book-entry electronic form by Computershare Trust Company, N.A. our transfer agent and registrar. Our claim to fame is our meticulously curated classic game collections. We don’t just simply emulate games on new platforms, we remaster the games, often modernizing them with new controls and improving the graphics and experience while subscribing to the concept of “artistic intent.” We produce a treasure trove of bonus materials, from design documentation to concept art, and produce feature length documentaries about the games and their creators. We’ve become the de facto commercial archaeologists of the videogame industry. While the games are the attraction, the bonus materials are quickly becoming the main event.
