The “Canton Network Deposit Giveaway” (the “Giveaway”) is sponsored by Republic Crypto LLC (“Sponsor”), a Delaware limited liability company, located at TRAC – The Registered Agent Company, 800 N. State Street, Suite 402, County of Kent, Dover, Delaware 19901. The Giveaway is also administered by Sponsor (“Administrator”), located at 149 5th Avenue, 10th Floor, New York, NY 10010.
2. ELIGIBILITY
The Giveaway is open to individuals who meet all of the following requirements:

• Age: Must be at least eighteen (18) years of age, or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry.
• Account: Must hold or open a Republic Wallet account that supports the Canton Network prior to entry.
• Global Access: Participation is open to users worldwide, except where prohibited or restricted by local law.
  
• Excluded Jurisdictions: Void in any jurisdiction subject to comprehensive U.S. sanctions (including but not limited to Cuba, North Korea, Iran, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine) and any other jurisdiction where participation would violate applicable law.
• Canadian Residents: To be declared a winner, a Canadian resident must first correctly answer, unaided, a time-limited mathematical skill-testing question administered by Sponsor or its designee, as required by Canadian federal law.
• Excluded Persons: Officers, directors, and employees of Republic Crypto LLC, and its parent companies, subsidiaries, affiliates, and advertising/promotion agencies, and their immediate family members (spouse, parent, child, sibling) and persons living in the same household, are not eligible.

• Daily Drawing: Each deposit is entered into the Daily Drawing for the Day (as defined in Section 3) in which the deposit was confirmed on-chain.
• Weekly Drawing: Each deposit is entered into the Weekly Drawing for the Weekly Period in which the deposit was confirmed.
• Grand Prize Drawing: Every eligible deposit made during the entire Promotion Period is entered into the Grand Prize Drawing.

Important: Deposits are recorded based on on-chain confirmation timestamp (UTC). Deposits that fail to confirm, are reversed, or remain in a pending state do not count as entries.

Method 2: Alternate Method of Entry (“AMOE”)
To enter without making a deposit, hand-print your full legal name, Republic Wallet address (or “N/A” if you do not have one), email address, and the words “Canton Giveaway Entry” on a 3” x 5” card and mail it in a stamped envelope to:

Each postmarked and received mail-in entry counts as one (1) entry into the Daily Drawing for the Day on which the entry is processed by Administrator, the corresponding Weekly Drawing, and the Grand Prize Drawing. Limit: one (1) mail-in entry per person per Day. Mail-in entries must be postmarked during the Promotion Period and received no later than May 9, 2026.

5. PRIZES AND TOKEN VALUATION
Prizes are awarded in Canton Coin (“CC”). The number of CC tokens constituting each prize is determined by dividing the stated USD value by the USD price of CC as listed on CoinGecko.com at 00:00:00 UTC on the date the prize is awarded (the “Valuation Rate”). If CoinGecko is unavailable, Sponsor will use the next available reputable price aggregator at its sole discretion.
Daily Prize: $10 USD equivalent in CC, one (1) winner per Day, 30 drawings total.
Weekly Prize: $500 USD equivalent in CC, one (1) winner per Weekly Period, 4 drawings total.
Grand Prize: $1,500 USD equivalent in CC, one (1) winner at the conclusion of the Promotion Period.
Total Approximate Retail Value (ARV): $3,800 USD.
Participants are eligible to win multiple prizes across different drawing periods. All prizes are non-transferable and no cash or other substitution is available, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.

6. WINNER SELECTION AND ODDS
Winners are selected by verifiable random drawing from all eligible entries received for the applicable drawing period. Sponsor will use a verifiable random function to select entries. Each unique deposit or valid AMOE entry constitutes one chance to win; therefore, a higher frequency of deposits increases the statistical probability of selection. Odds of winning depend on the total number of eligible entries received for each drawing period.

Drawing Schedule

• Daily Drawings: Conducted within 48 hours following the close of each Day.
• Weekly Drawings: Conducted within 72 hours following the close of each Weekly Period.
  
• Grand Prize Drawing: Conducted within seven (7) calendar days following the close of the Promotion Period.

7. WINNER NOTIFICATION AND PRIZE CLAIM
Potential winners will be notified via the email address associated with their Republic Wallet account (or the email address provided on a mail-in entry). Winners must respond to the notification within five (5) business days of the date the notification is sent. Failure to respond within this period, or the return of any notification as undeliverable, may result in disqualification and selection of an alternate winner.
Before any prize is released, winners may be required to execute and return an Affidavit of Eligibility, a Liability Release, and, where permitted by law, a Publicity Release, within ten (10) days of issuance. Non-compliance may result in forfeiture of the prize.

8. TAX IDENTIFICATION AND REPORTING
Sponsor maintains a tiered approach to tax identification and reporting, consistent with applicable law:

• Standard Daily Prizes: No taxpayer identification is required for individual Daily prize winners whose cumulative winnings do not exceed the thresholds below.
• Internal Verification Threshold: If a participant’s cumulative winnings reach or exceed $100 USD, Sponsor reserves the right to request valid government-issued identification and a Tax Identification Number (TIN), Social Security Number (SSN), or equivalent before releasing further prizes.
• Mandatory IRS Reporting (U.S. Residents): Under the One Big Beautiful Bill Act (effective for prizes awarded in the 2026 tax year), the IRS Form 1099-MISC reporting threshold has been raised from $600 to $2,000. If a U.S. resident’s total winnings reach or exceed $2,000 within the calendar year, Sponsor must receive a completed IRS Form W-9 before releasing the prize that crosses this threshold.
• Non-U.S. Residents: If a non-U.S. resident’s total winnings reach or exceed $2,000 (or such lower threshold as may be required by applicable law), Sponsor may require a completed IRS Form W-8BEN or equivalent documentation before releasing further prizes.
• Responsibility: All winners are solely responsible for all applicable federal, state, local, and foreign taxes and any reporting obligations in their jurisdiction of residence. Sponsor strongly encourages all winners to consult a tax advisor regarding the tax implications of receiving cryptocurrency prizes.
  

9. NETWORK, ASSET, AND CUSTODY DISCLAIMERS
CRYPTOCURRENCY AND OTHER DIGITAL ASSETS ARE HIGHLY SPECULATIVE, INVOLVE SIGNIFICANT RISK, AND MAY RESULT IN THE COMPLETE LOSS OF VALUE. THEY ARE NOT DEPOSITS, ARE NOT INSURED BY THE FDIC OR SIPC, ARE NOT BANK GUARANTEED, AND MAY LOSE VALUE.

• Asset Volatility: By participating, you acknowledge that CC is a digital asset. Its value may fluctuate significantly between the Valuation Rate timestamp (00:00:00 UTC on the award date) and the time the tokens are received in your wallet or subsequently traded. Sponsor is not responsible for any change in value between valuation and receipt.
• Custody and Security: Republic Crypto LLC is not responsible for lost recovery phrases, compromised private keys, unauthorized wallet access, or any technical failures of the Canton Network, the Republic Wallet platform, or any third-party infrastructure.
• Network Risks: Transactions on the Canton Network are subject to network congestion, protocol upgrades, forks, or other events that may delay or prevent deposit confirmation. Sponsor is not liable for entries that fail to register due to network issues beyond Sponsor’s reasonable control.
• Fees: Participants are solely responsible for any gas fees, network costs, exchange fees, withdrawal fees, or other charges associated with depositing, holding, transferring, or liquidating CC or any prize tokens.
• Regulatory Risk: The regulatory status of digital assets varies by jurisdiction and is subject to change. Sponsor makes no representation that participation in this Giveaway, or receipt or holding of CC, is lawful in any particular jurisdiction. Participants are solely responsible for ensuring compliance with applicable laws.

10. ANTI-FRAUD AND SYBIL PREVENTION
Sponsor reserves the right, in its sole discretion, to disqualify and void the entries of any participant found to be:

• Using automated scripts, bots, or smart contracts to generate deposits for the purpose of increasing entries.
• Operating multiple Republic Wallet accounts (“Sybil attacking”) to accumulate entries beyond what a single individual would reasonably generate.
• Colluding with other participants to manipulate the drawing.
• Engaging in wash trading, circular transactions, or any other activity designed to artificially inflate entry counts without genuine economic activity.

Sponsor may use on-chain analytics, behavioral heuristics, and KYC/KYB verification to identify and prevent fraudulent activity.

11. LIMITATION OF LIABILITY
By participating, entrants agree to release and hold harmless Sponsor, Administrator, and their respective parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and successors (collectively, the “Released Parties”) from and against any and all claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) participation in the Giveaway; (b) acceptance, use, misuse, or possession of any prize; (c) any technical malfunction, error, or human error relating to the administration of the Giveaway; or (d) any injury, damage, or loss to person or property related to participation.
EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL LIABILITY EXCEED THE VALUE OF THE PRIZE WON BY THE APPLICABLE PARTICIPANT.

12. PRIVACY AND DATA COLLECTION
Information collected from participants in connection with this Giveaway will be used by Sponsor for the purpose of administering the Giveaway and as otherwise described in Sponsor’s Privacy Policy, available at the Republic website. Sponsor may collect names, email addresses, wallet addresses, mailing addresses (for AMOE entries), and tax identification information (where required). Sponsor will not sell personal information collected in connection with this Giveaway to third parties. By entering, participants consent to the collection and use of their information as described herein and in Sponsor’s Privacy Policy.

13. GENERAL CONDITIONS

• Modification/Cancellation: Sponsor reserves the right to modify, suspend, or cancel the Giveaway at any time if fraud, technical failure, network instability, regulatory action, or any other factor beyond Sponsor’s reasonable control compromises the integrity or proper administration of the Giveaway, as determined by Sponsor in its sole discretion.
• Force Majeure: Sponsor shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, network outages, or blockchain protocol failures.
• Winners List: For a list of winners (available after June 2, 2026), send a self-addressed, stamped envelope to: Republic Crypto LLC, Attn: Canton Giveaway Winners List, 149 5th Avenue, 10th Floor, New York, NY 10010, for receipt no later than August 1, 2026.
• Severability: If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  
• Entire Agreement: These Official Rules constitute the entire agreement between each participant and Sponsor with respect to the Giveaway and supersede all prior representations or agreements.
  

14. GOVERNING LAW AND DISPUTES
These Official Rules are governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Official Rules or the Giveaway shall be resolved exclusively in the federal or state courts located in New York County, New York, and participants irrevocably consent to the personal jurisdiction of such courts.
Except where prohibited by law, as a condition of participating in this Giveaway, each participant agrees that: (a) any disputes shall be resolved individually, without resort to any form of class action; and (b) any claims arising out of or relating to this Giveaway must be filed within one (1) year after the cause of action accrues, or be forever barred.
