No. IPO Prime tokens offer economic exposure to the reference companies but are not a direct equity investment. Holders of the tokens receive payouts that track the performance of the shares in the reference company after an IPO, acquisition, or after a 10 year maturity. The tokens represent a debt obligation from the issuer to make that payment, at the terms outlined in the offering documents, to the token holders. These tokens are not actual shares in the reference company, and purchasing or owning them does not constitute ownership of corporate equity and does not confer voting rights, dividend rights, or any other shareholder rights. preOPAI tokens are not affiliated with the company OpenAI and have not received any form of approval or endorsement from OpenAI.
Once the IPO Prime promotion has ended, users can trade the tokens on the over-the-counter (OTC) market that will open later. Alternatively, users can hold the token to receive the payout following an IPO by OpenAI. The payout is calculated and due to token holders 6 months after an OpenAI IPO (to reflect the 6 month lockup on all pre-IPO stock). At this point, the issuer will entrust Bitget to convert preOPAI into OpenAI stock tokens or USDT with the amount reflecting OpenAI’s share price at market closing, subject to the terms set forth in the debt instrument, offering documentation, and subscription agreement.
If the reference company’s IPO does not happen, the token remains tradeable until there is another qualifying liquidity event (like an acquisition), the company dissolves, or the token reaches maturity after 10 years, at which point the payout to token holders is made based on an independent, third party assessment of the market value of the reference company’s shares.
