Investment values presented on this dashboard represent estimates of current value prepared in accordance with the methodologies described below.

For early-stage companies, valuations are generally marked up or down to a company's latest priced round. Companies that do not have a new priced round since the last mark are held at the last mark or cost. Investments may also be marked down (but never up) at our discretion. Appendix: Republic Deal Room LLC

Fees & Disclosures Last updated June 11, 2026 

• Republic establishes Special Purpose LLCs (SPVs) for the purpose of investing into portfolio companies.
• Republic Deal Room Adviser LLC is the Manager of the SPVs and is responsible for all administrative matters arising in connection with the SPV or arising from the underlying portfolio company. Republic may engage third-party service providers to perform management responsibilities.
• Republic may invest its own capital into SPVs.
• Republic assumes all startup and administrative costs of the SPV for up to 10 years.

COSTS ASSOCIATED WITH THE LLCs

• Administration: A one-time fee of up to $17,500 to cover the SPV administration. This fee is split pro-rata amongst the limited partners in the fund. 
• Management: A management fee of up to 2.5%, payable to Republic Deal Room Advisor LLC upon closing of investor financing of the SPV.
• Escrow: A one-time upfront fee of $2,500 to cover. This fee is split pro-rata amongst the limited partners in the fund. 
• Carried Interest: Once all capital contributions are repaid to investors, then up to 20% of further distributions are credited to Republic Deal Room Adviser LLC.

RISK OF BECOMING AN INVESTOR OF THE LLC

The underlying portfolio company investment in which the SPV will invest is speculative and is considered a HIGH-RISK and ILLIQUID INVESTMENT. As with any investment, there is a potential for profit but also a risk of loss of the entire investment.

INVESTMENT AND LEGAL ADVICE

Republic strongly advises all investors to seek their own legal and financial advice before signing any documents or sending capital contributions. You are encouraged to read carefully the LLC Agreement and Subscription Agreement provided to you at the time of your commitment.
