Why Accreditation Matters: The Regulatory Context
To understand what accreditation unlocks, it helps to understand how private investment offerings are structured under US securities law.
Regulation Crowdfunding (Reg CF) allows companies to raise capital from the general public. Any investor, regardless of wealth or income can participate. To protect everyday investors, Reg CF comes with annual investment caps tied to an individual's income and net worth, and imposes limits on how much a company can raise.
Regulation D allows companies to raise capital from accredited investors. Because accredited investors are presumed to have a higher financial sophistication and cushion to absorb risk, Reg D removes the investment caps that apply under Reg CF and allows companies to raise significantly larger amounts. This approach powers large sums of capital formation. Reg D offerings allow accredited investors to participate in later-stage rounds, growth equity, tokenization of real world assets, and other deals that have typically been reserved for institutions and family offices.
Offerings on the platform beyond Reg CF are conducted through OpenDeal Broker LLC, a registered SEC broker-dealer and member of FINRA/SIPC, which hosts Reg D offerings alongside Regulation A+ and Regulation S offerings—for accredited investors.
