Realm Metaverse Real Estate Inc. ("Realm MRE") is a corporation which is aiming to achieve attractive risk-adjusted returns primarily by acquiring, managing, developing, and selling virtual property holdings in the form of non-fungible tokens (“NFTs”) across various crypto-based virtual worlds (“metaverses”).

As of March 31, 2022, Realm MRE has made investments into more than 25 different metaverses.

By employing a unique combination of experience and knowledge in the real estate, development and digital asset management industries, Realm MRE will seek to generate an attractive return on investment, while contributing to the growth, prosperity, and communities in these virtual worlds.

What is the Metaverse?

The metaverse is an alternate digital reality where people socialize, work, play, and transact. Metaverses built on the blockchain are self-contained virtual cities, games, and economies that simulate real-world interactions. The metaverse bridges the gap between the digital and physical worlds, offering new, exciting methods of interaction. Blockchain-based metaverses distribute ownership and value through native cryptocurrency tokens to their users, players, and land-owners.

Digital Real Estate Investing

Investment in digital real estate occurs through the purchase and exchange of non-fungible tokens (or NFTs), a special type of cryptographic token which represents something unique; non-fungible tokens are thus not mutually interchangeable. This is in contrast to cryptocurrencies like bitcoin, and many network or utility tokens that are fungible in nature. Each NFT is distinct or unique, it is indivisible and it is not interchangeable.

Strategy


Realm invests in virtual worlds, or metaverses, built on the blockchain. Our asset management strategy is inspired by traditional real estate investment strategies. We look to acquire, manage, and develop virtual real estate, following three core tenets below. 

We intend to acquire a portfolio of diversified digital assets across a variety of crypto-based virtual worlds. When deciding whether to acquire a digital asset, we generally analyze our potential purchase prices compared to recent sales, the prospect that the digital asset’s location with respect to potential neighbors may add value, and the digital asset’s potential use cases and development viability. 

We do not intend to actively trade (or “flip”) the digital parcels it acquires. Instead, we generally employ a “buy and hold” strategy, and may sell or dispose of assets when when favorable opportunities present themselves.

As of March 31, 2022, Realm MRE has made investments into more than 25 different metaverses including:

The Sandbox - Open-builder world divided into purchasable virtual plots with planned games and user-generated content from the industry’s most impressive partnership list. 

Decentraland - Open-builder world divided into purchasable virtual plots populated with one of the largest metaverse user bases and foundation of games and user-generated content. 

CryptoVoxels - Open-builder world in the style of DCL and The Sandbox. The game’s aesthetic is pixelated and retro. 

Somnium Space - Open, social & persistent virtual reality platform universe is shaped entirely by players. 

Axie Infinity - Digital pet game in which you buy creatures, “Axies,” and use them to battle, explore and breed with other Axies in a play-to-earn format.

Embersword - MMORPG set in a “dystopian fantasy universe.” Players purchase land, collectibles, and fight other players.

DeHorizon - A game that will let you explore a vast world built on the blockchain with the ability to participate in many different activities. 

Bit.Country - enables everyone to start their own metaverse for their people with the 3D world, NFTs, & play-earn.

HighStreet - Bridging the physical and digital worlds offering real products with additional utilities by turning them into in-game items. 

Nifty Island - A community-owned and driven metaverse where digital assets can be brought together in a single realm. 

Cradles - Allows real-world time and space rules to mesh in a game for the first time with the introduction of the time and entropy system. 

Treeverse -  Open-world, fantasy and sci-fi based MMORPG with an action-packed MOBA-style combat system. 

Mirandus- Fantasy MMORPG with user-generated content and a focus on trading/simulation economics by proven studio Gala Games. 

Dvision- Open world where users can acquire and customize their personal Meta-Space in order to establish and offer their own content

Big Time - Co-op RPG set in a variety of historical places designed by a highly experienced art team.

Pixelnyx- a music-focused metaverse built by successful musicians in the emerging web3 music landscape.

Wilder World - A social platform focused on the arts and culture set in a virtual twin of Miami. 

Aavegotchi - A crypto collectible game built on Ethereum where participants can purchase and grow Aavegotchis,

World Wide Webb - An interoperable pixel art MMORPG metaverse game giving utility to popular NFT projects.

Portals -  A browser-based metaverse built on Solana that is meant to be used for social and community-led experiences. 

Derby Stars - a virtual horse racing game built on the Terra blockchain. 

Angelic - a fantasy game built by Metaverse Gaming Studios similar to  a League of Legends/Starcraft style platform. 

BYOVerse - the virtual platform component to BYOPills, the project that set out to create the consumables of the metaverse.

Placemaking

We apply a multi-faceted approach to the planning, design and management of spaces in the metaverse that are designed to encourage and feed the community's interests and aspirations with the intention of creating spaces that promote happiness and improve collaboration and interaction.

Urban Planning

We think of our team as urban planners in the metaverse, and we approach real estate development as a technical process that incorporates the physical form, economic functions, and social impacts. 

Value Creation

We create value by developing districts and bringing anchor tenants and experiential pop-ups. We build assemblages by acquiring adjacent parcels that allow for more dense development, a process which unlocks value.

FANTASY ISLANDS

Fantasy Islands is the first-ever master-planned premier island community in the metaverse. With 100 unique private islands, community developments, exclusive brand partnerships, and luxury NFTs designed for use in The Sandbox, Fantasy Islands is the ultimate escape.

METAJUKU

Metajuku is a shopping district in Decentraland developed by Everyrealm, with retail spaces leased to tenants such as Dress-X and JP Morgan Chase.

Valuation


At the end of each quarter, our Manager calculates the NAV for our common stock, consisting of our Class A and Class B shares, and using a process that reflects, (1) the estimated values of each of our portfolio assets and investments, including related liabilities, based upon (i) independent third-party valuation reports which primarily rely on comparable sales information, and (ii) for portfolio assets that have development or value add plans, progress along such development or value add plan and (2) the price of liquid assets for which third-party market quotes are available, such as coinmarketcap.com or another reputable third-party pricing source.

These guidelines are designed to produce a fair and accurate estimate of the price that would be received for our investments in an arm’s-length transaction between a willing buyer and a willing seller in possession of all material information about our investments.

Team


Realm MRE is managed by Everyrealm Manager LLC, a subsidiary of Everyrealm Inc. ("Everyrealm"). In addition to managing Realm MRE, Everyrealm also manages investment funds focused on NFTs, gaming and infrastructure and operates Realm Academy, an metaverse educational program. 

Management Fees

Realm MRE will pay the Manager a base management fee equal to 0.5%, per fiscal quarter, of the aggregate contributed capital of the common shareholders.

In addition, Realm MRE will pay the Manager, annually,  an incentive management fee equal to twenty five percent (25%) of the amount, if any, by which (a) the Company’s net asset value (“NAV”), as calculated as of the end of that fiscal year, exceeds (b) NAV, as calculated as of the start of that fiscal year. The Incentive Fee will be payable in Class B common shares.

Offering


We are offering up to $20,000,000 of Class B shares of our common stock under Regulation D 506(c) to accredited investors at our March 31, 2022 NAV of $370.18 per share. The minimum investment in this offering is $50,000.
