This opportunity is to purchase partnership interests in a SPV which will be holding Series A-1 preferred shares on the same terms as the institutional investors in the round- Galaxy Digital, Hashed, Broadhaven Ventures, and Tribe Capital. The SPV has no fees or carried interest and is managed by OpenDeal Inc. dba Republic, the company you are investing in.

Limited Partners will have no voting or control rights associated with the Fund’s Portfolio Securities. In the event the Portfolio Securities are entitled to vote on any matter with respect to the Portfolio Company, the Fund’s Operating Agreement directs the General Partner to vote the Portfolio Company Securities in accordance with, and in the same manner as, Kendrick Nguyen, CEO of the Portfolio Company and the General Partner votes his securities issued by the Portfolio Company. Should Mr. Nguyen no longer be the CEO of the Portfolio Company, the Fund’s Operating Agreement requires the General Partner to vote  the Portfolio Company Securities in accordance with, and in the same manner as, with the vote made by the largest holder of Portfolio Company Securities of the same class and series. The General Partner will poll the Partners by email, and will follow the majority decision of the Partners that respond within five (5) business days following that poll. If no Partners respond, then the Fund may follow the General Partner’s general discretion.
