In addition to the carried interest Republic Deal Room Advisor LLC is entitled to for the syndicated investments it organizes, certain principals of Republic Deal Room Advisor LLC may have a personal interests in these investments, as disclosed below. This investment opportunity is to purchase interest in a special purpose vehicle (the "Fund") advised by Republic Deal Room Advisor LLC (the "Advisor"). The Fund will invest substantially all of its assets in the Portfolio Company. The Fund will charge the limited partners operational fees pro rata. The Advisor receives a 2% management fee and a 20% carried interest from the Fund.
