Let's talk dividends

Dear Investors,

The Republic Note has exposure to an incredibly unique set of portfolio companies and can continue to generate dividends when any of those companies exit. Right now the dividend pool has over $900K waiting to be distributed. Today we wanted to share some of the largest contributions to the dividend pool so far.

Dapper Labs brings the power of play to the blockchain. Here’s how Republic Capital’s investment in this web3 giant powered big inflows to the dividend pool for Republic Note holders.

  • In 2020, Republic Capital deployed $490K into Dapper Labs’ FLOW token

  • 31 months later, Republic Capital liquidated its position at a ~88X net return for investors

  • Of the carried interest earned by Republic Capital, $511K was added to the Republic Note dividend pool

ROBINHOOD: +$105k [Republic Capital]

Robinhood revolutionized stock trading for retail investors. Here’s how Republic Capital’s investments in this financial markets unicorn will impact Republic Note dividend distributions.

  • Between 2020-2021, Republic Capital deployed ~$37M into primary and secondary offerings of Robinhood stock 

  • By early 2022, Republic Capital liquidated its entire position in Robinhood

  • Of the carried interest earned by Republic Capital, $105K was added to the Republic Note dividend pool

SHIPROCKET: +$94k [Republic Capital]

Shiprocket is India's most popular eCommerce shipping and logistics provider. Republic Capital made its first investment in early 2020 and doubled down on its commitment later that year. 

  • In January 2020, Republic Capital invested $1.33M, followed by another $735K in October 2020

  • In July 2022, Republic Capital liquidated its first position, returning $7.8M to investors (net of fees and expenses)

  • Of the carried interest earned by Republic Capital, $94K was added to the Republic Note dividend pool

It seems the questions by the investors are similiar to mine, Yields are very low, not what what we were led to believe before we invested, the payouts are redicuously slow, 3 years later and none of us have made a dime, and Republics explanations are very vague and have little substance,. This has all the makings of a scam.. My patients is running out.

Your 2020 Republic Note Reg A+ reservation is still reserved. It is difficult to say if or when that offering may be qualified by the SEC. No action is needed at this time.

I like that you are going to pay dividends but the dividend flow to the NOTE holders seems very low.

On your Dapper labs investment of $490k, you made 88x which means around $43M ($490k*88) and that contributed only $511K (only around 1.2%) to the dividend pool. This seems very low to me. By this calculation, it seems, on every $90-$100M made by Republic, will contribute $1M to the dividend pool.

The payout structure doesn't look good, you guys have to improve on that to make it a fair deal.

David Porter I assume the $43M was earned by the total investment pool, of which I presume a large percentage was investor capital and not direct investment by Republic Capital. Unless Republic directly invested their own capital into Dapper, dividends to the notes would only accrue based on the amount Republic earned from their carried interest at deal closure. I don't know what the carry structure was in this case, but based on the published "25% of net gains from realized carry", $511k would suggest a total carried interest of ~$2M which would represent very roughly a 5% carry (2M/(43M-0.5M)). A 5% carry seems very low, especially because if Republic had any direct capital invested in the deal, 100% of the net proceeds should accrue to the notes (which would mean the carried interest would be even less than 5%). Hopefully Republic can clarify so investors can have full transparency and confidence in this investment vehicle.

Hemendra Singh @david-porter Yes, there are various points which are confusing. If they netted around $2M, they should've mentioned that in the post, instead of mentioning $43M. Nevertheless, the sale is over now, and I held back from investing after reading this update from @republic team.

I like the idea of notes but I'll be honest, I am extremely skeptical of this whole thing. Seems very much like this deal is structured in favor of Republic and not note holders.

I was trying to get my reserve rate what would of givenn me like 7500 notes and didnt realize their was a campaign going on now i have to be ok with 400 notes i guess i screwed the pooch loll

Justin Olson @jason-keller someone listed the amount of notes on the main discussion page. The total amount to be generated is also listed in one of the forms they provide or the white paper. Don't remember the exact figure but there are A LOT of notes (at least tens of millions from my memory).

Notice how their mentions in the above article are all top-level '900K' dividends. Not to the bottom-level dividend per note (which is what it should be when they title the article 'Let's talk dividends'. Bottom line is I think they are pointing to the high level value because individuals will get almost nothing at the note-level.

Awesome! The initial payout for 12 cents invested folks is ~2.4% and ~0.8 % for whoever invested @ .36 cents this round!! Based on the 350 million notes at launch.
